Job Responsibilities

TMF in The Netherlands is currently looking for two highly motivated, team-oriented Legal Officers.

The Legal Officer is part of Corporate Services, one of the largest service teams in Amsterdam. He or she will handle all legal and administrative matters of client companies and is able to maintain and develop relationships with domestic and foreign advisors, banks and shareholders taking into account the existing procedures of TMF Group. The Legal Officer is part of a dedicated client team and has a delegated responsibility to keep the client files in good legal and financial standing.

• Create and arrange general correspondence with clients, notary, external advisors, banks, regulatory bodies and other relevant parties.
• Assist in incorporations and share transfers of client companies in close co-operation with the client, notary, law firms and tax firms.
• Draft standard legal documents e.g. management agreements, loan agreements, minutes and proxies.
• Conduct correspondence with the third parties involved with files.
• Appoint or dismiss management/supervisory directors, change of domicile of the company etc.
• Take care of registration with the Chamber of Commerce and other registrations.
• Review and assess relevant legal documentation and advice from third parties.
• Signal any legal or tax issue of a client transaction and liaise with the client and/or advisors.
• Draft liquidations agreements and perform the formalities concerning liquidation of companies, such as sharholders resolution and other documents, and take care of the required publications.
• Update and maintain the client portfolio in good standing and comply with the rules and regulations of the Dutch Central Bank and/or related legislation.
• Attend and, depending on experience, partly independently carry out meetings with clients and consultants.
• Ensure that all legal procedures remain in line with applicable law and overall objectives.
• Execute any activities necessary to ensure TMF Group and its clients comply with what is required or otherwise desired by compliance.
• Start to develop strong working relationships with the consultants and clients involved with TMF Group and adequately keep up with activities and refer them to third parties, such that the possibilities of activities to be referred to TMF Group are demonstrably increased.
• Keep client data and the client database up to date.
• Keep records per account of own worked hours.
• Perform other duties as assigned or requested.

Job Requirements

• University degree in (Dutch) law (civil, notary or fiscal).
• Preferably a minimum of 3 - 5 years relevant working experience.
• Knowledge of corporate law and regulations.
• Excellent English written and verbal communication skills.
• General interest in international financial/capital markets and financial instruments.
• Entrepreneurial business focus, decision maker, problem solving attitude.
• Able to build relationships.
• Accurate, precise and meeting tight deadlines.
• Analytical, flexible and convincing.
• Self-motivated and able to work both independently and as part of a team.
• Adherence to procedures.
