On-line General Meetings are now legal in Brazil / New merger control regulations01 August 2012

The Brazilian Comissão de Valores Mobiliário (CVM) have announced that on-line General Meetings are now legal under certain requirements following the introduction of providers that offer on-line voting for Corporations, Funds and Associations. This service offers the option of on-line voting and on-line proxy granting, as well as innovations including live audio and video online transmission of the Meetings. Digital authentication would be required via specialized authentication firms, to allow for this service to be used.


Additionally

Brazil’s new Merger Law has recently come into force following the introduction of merger control regulations by the Administrative Council for Economic Defense (CADE). A set of revenue thresholds have been determined for the new regulations to be applicable along with details of what transactions must be reported and what filing procedures should be followed in Brazil’s new pre-merger control regime.
