With a team of 40 members covering both domestic and co-ordination of global company secretarial and governance needs, we are one of the UK’s largest professional services company secretarial teams of qualified and part qualified chartered secretaries and support staff. Interim company secretarial support

It happens – people leave jobs, go on leave, move around or a corporate action arrives. But that can leave a gaping hole in your company secretarial resources. We’ve helped plenty of people in this situation, such as FTSE 100 company ENRC who we’ve been covering during their high profile takeover. We provide experienced interim resource through secondments – on site and remotely. We can provide you with the right people in terms of character, motivation and experience to perform the required roles efficiently and cost effectively.

Board and Committee meeting support

As experienced board secretaries and advisers in the boardroom we provide an efficient and effective board support solution.

Our comprehensive service includes developing annual meeting planners, assisting with the organisation of board and committee meetings, from the preparation of draft agenda with the Chairman, collation and distribution of Board packs via our electronic portal, attendance at the meetings in person or by conference call in any location worldwide to take minutes and provide company secretarial advice and guidance on governance matters to directors. The establishment of a private limited liability company is the most common form of the legal entity setup in the UK. Other common forms of legal entity include Public Limited Companies (PLC), UK Establishments and Limited Liability Partnerships (LLP). We are able to assist with the establishment of all entity types in an efficient and in most cases on a same day basis. We will then maintain the company in good standing through our annual compliance service.

Director Services

We are able to provide both personal and corporate director services in certain situations.

Registered office and mail forwarding

All UK companies must have a registered office address to which correspondence may be sent. This address may be anywhere in the UK, but it is important that any correspondence received is efficiently forwarded without delay. Many newly established companies use one of TMF Group’s office addresses as the formal UK registered address of the company.

Director and company secretarial face-to-face and online training

Our new directors’ duties online training programme has been developed in partnership with leading Governance Risk and Compliance and e-learning training provider Thomson Reuters. With optional modules and TMF Group’s ability to adapt the training to all key jurisdictions around the world, we can tailor a solution for you. This can be combined with face-to-face training in any jurisdiction, as a refresher or induction for new directors.

Corporate Entity Health Check Report

A three-way match and review of client corporate data, and information available on local public records and local statutory records. It takes the pulse of your statutory company secretarial obligations and identifies areas of non-compliance, including, amongst others, legal registration and incorporation details, current directors, shareholders, share capital, verification of minutes and statutory filings made (including submission of financial accounts).

Process Agent Services

We operate an established process agent administration service for clients who have entered into legal agreements in a foreign jurisdiction and need to appoint a local agent to accept service of process. Our appointment as process agent covers service of documents relating to contracts, transaction documents, ISDA agreements and structured finance documentation.

How we can help

Cost efficiency and risk management – centralised administration with robust processes and controls to establish formalised /referenced process agent appointments, and efficient forwarding of documents served at our offices. All fees are one off payments and cover the lifetime of the document(s) we are appointed under.
