Corporate secretarial services

Our dedicated teams provide the full range of corporate secretarial functions, from incorporation to preparing minutes and maintaining the register of shareholders. We lead all allocations and communication with investors, reviewing your corporate structure and performing UBO registration and filing, as well as supporting on the transaction side. In addition, we offer domiciliation services and provide local directors and managers to provide economic substance for your entities.

Regulatory and investor reporting

Debt fund sponsors have robust governance responsibilities, investment limits, and reporting obligations. You are similarly obliged to provide investors with diversification and risk metrics and portfolio company operating costs – fees charged and incentives paid. We are well placed to help you meet all transparency demands.

Fund launch and establishment

We deal with all compliance and onboarding needs, including KYC/AML checks, enhanced due diligence for FATCA and CRS, bank account opening, and entity governance. We also assist with migrating fund structures to other jurisdictions. 

 

 

 

Accounting and consolidation

We manage your accounting processes efficiently and provide timely, accurate information and analysis. We provide all the fund accounting and loan administration services you will require, such as statutory bookkeeping, facility agent, collateral agent, accounting under relevant accounting standards (IFRS or local GAAP), financial reporting and annual financial statements, consolidated reporting, and investor allocations.

Cash management and liquidation services

We provide budgeting, cash flow, and payment services. This includes cash projections and statements, waterfall and priority payment monitoring, and calculations. We maintain cashflow calculations and work with your preferred bank(s) to support the operational payment processes. We can also guide you through efficient entity liquidation processes.
