Our administrative services clients include banks, asset managers, corporates and SPVs

We offer fully outsourced solutions to the burden imposed on the issuers of securitised bonds by the EU’s ESMA and EMIR regulations. Our PFIC team enables clients with US investors to comply with US tax requirements concerning international US taxpayers.

In addition, we provide global administrative services to asset portfolios, whether as part of a securitised issue or otherwise as part of a leveraged financing.

How we can support you

The EU's European Securities and Markets Authority (ESMA) regulation is focused on transparency. It requires issues of eligible securitised bonds to periodically report large volumes of data, adhering to prescribed templates that comprise thousands of data points.  The regulation covers both issues that take place within the EU and those that take place outside of that region which are offered to EU investors. We are one of the leading providers of ESMA services, currently assisting more than 100 issuers across a range of asset classes.

Our proprietary software platform enables our team to collate, interpret, review and report the applicable data, in a manner consistent with industry benchmarks.

The European Market Infrastructure Regulation (EMIR) requires companies to report their derivative contracts and comply with EMIR’s risk management standards. Our focused team helps clients with both reporting compliance and the ongoing obligation to monitor, reconcile and upload any changes to derivatives that need to be reported on.

We provide clients with portfolio administration services on leveraged and securitised financings. This aspect of our service offering draws on the group’s substantial expertise providing securitised issuer vehicles, as well as our various data driven services.

Our offering includes verification agency, reporting agency and portfolio administrator services, across our global footprint. Functionally, we can assist with all aspects of the portfolio lifecycle, including collection, substitution, monitoring and enforcement actions. Our partners and clients include portfolio managers, servicers, trustees and banks. We have experience across asset classes and portfolio structures.

The Passive Foreign Investment Company (PFIC) regulations impose an obligation on US taxpayers to report taxable income from sources domiciled outside the US.

As a result, US persons owning shares of a foreign corporation and meeting the PFIC criteria will need to comply with specific reporting requirements for their annual tax filing in the US.

TMF Group works with a full range of clients in connection with PFIC statements. We are the largest PFIC provider in Continental Europe, with particular expertise reporting on structured finance products, such as CLOs, RMBS and CMBS.
